Jo Ann works with all types of businesses on transactional and corporate matters.
She represents buyers and sellers in the purchase and sale of businesses through asset and stock transactions as well as strategic transactions. She also represents business and institutional investors on equity financings including Series Seed, Preferred Stock, SAFE and convertible debt including venture/NVCA, private equity, angel and institutional financings. Jo Ann has a concentration of experience with sell-side/exit transactions as well as strategic transactions. Jo Ann’s transactional clients are typically mid-market, closely-held companies as well as high growth, start-up companies in industries including life science, technology (including SaaS, managed services and platforms), services (including digital media, advertising, and marketing services) and manufacturing.
In addition to her transactional work, Jo Ann enjoys establishing long-term relationships with her clients in the capacity of outside corporate counsel representing them in the negotiation and preparation of a wide variety of commercial agreements including SaaS, confidentiality/non-disclosure, invention assignment, master service, licensing, distribution, marketing, executive employment, strategic partnering, operating, vendor, website and app, and platform-related agreements and terms.
Jo Ann’s work with closely-held and start-up companies also includes drafting and counseling on core corporate governance and equity sharing agreements such as drafting equity incentive plans, option agreements, stockholder/buy-sell agreements, founder stock purchase agreements and plans of conversion.
Jo Ann’s prior experience as an owner of a Chambers-recognized boutique corporate/litigation law firm and as in-house counsel to a venture-backed start-up company gives her the ability to look at her corporate and transactional work from the lens of a business-owner helping clients to define and refine their goals and to support those goals through cost-effective strategies and solutions.
